Doma Wallet Terms of Use

1. Acceptance of Terms and Eligibility

Welcome to DOMA Wallet (“DOMA,” “we,” “us,” or “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Veltis Consumer Technologies Ltd (the “Company”). References to “DOMA” in these terms and conditions include, without limitation, reference to the Company and (references to “DOMA”, “we”, “us” and “our” shall be construed accordingly). The Company is incorporated in the British Virgin Islands. Certain operational, administrative, technical, or compliance functions may be performed from other jurisdictions. The governing law and dispute resolution provisions apply regardless of the location from which services are provided or accessed.

By downloading, installing, accessing, or using the DOMA Wallet application or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use DOMA Wallet and we recommend that you uninstall the application from your device(s).

To use DOMA Wallet, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. You must not be located in, or a resident of, any jurisdiction where the use of cryptocurrency wallets or related services is prohibited, restricted, or subject to sanctions imposed by the United Nations, European Union, United States, United Kingdom. You must comply with all applicable laws and regulations in your jurisdiction. By using DOMA Wallet, you represent and warrant to us that you meet all eligibility requirements.

2. Representations and Warranties

By downloading and using DOMA Wallet, you represent and warrant to us that:

If you are a natural person, you: (a) are at least 18 years of age and are capable of exercising independent judgement; (b) have legal and contractual capacity under the laws of your jurisdiction of residence to enter into a legally binding contract with us; (c) are not currently the subject of a bankruptcy order or a petition in respect of the same (in any jurisdiction); (d) are, and will remain the sole beneficial owner of the assets you will hold in your DOMA Wallet; (e) are not national, resident, operating or having a payment account in a country that falls outside our acceptance policy; and (f) are not a politically exposed person or sanctioned person.

If you are the appointed representative of a company or corporation that wishes to open a DOMA Wallet: (a) you have legal and contractual capacity to enter into a legally binding contract with us on behalf of the company or corporation; (b) the company or corporation is active and in good standing in its jurisdiction of incorporation and is not currently the subject of bankruptcy, liquidation, receivership or a petition in respect of the same (in any jurisdiction); (c) the company or corporation is not incorporated, resident (whether by its own operations or by virtue of the residence of its directors or managers) or operating in a jurisdiction that falls outside our customer acceptance policy; and (d) neither the company or corporation nor any person who is a director, manager, officer, shareholder, member or ultimate beneficial owner of the company or corporation is a politically exposed person or a sanctioned person.

You are, and will remain, in compliance with all applicable laws and regulations, including those relating to sanctions, export controls, financial crime prevention, and tax obligations, in all jurisdictions relevant to your use of DOMA Wallet.

You have adequate and appropriate technical and organisational safeguards to protect confidential data, information and documents as to prevent unauthorised third parties from accessing your DOMA Wallet, the assets kept within it, your recovery phrase and/or your private keys.

Any assets to be kept within your DOMA Wallet are legally and beneficially owned by you and are derived from a legitimate source and origin and are not the proceeds of a crime committed in any jurisdiction.

You are acting solely on your own behalf and not as an intermediary, trustee, nominee, broker, or agent for any third party, and that you are, and will at all times remain, the sole beneficial owner of the digital assets associated with your DOMA Wallet.

Your (or, where applicable, the company’s or corporation’s) wealth has been, and will always be, accumulated in a legitimate manner in compliance with all applicable laws and regulations.

You (or, where applicable, the company or corporation) do/does not engage in any unlawful activity in any jurisdiction, including fraud, money laundering, terrorist financing, proliferation financing, sanctions evasion, market abuse, or any business, activity, or transaction prohibited by applicable law.

All information, data and documents provided by you are true and accurate in all material respects.

You agree to promptly notify us if any representation becomes inaccurate or incomplete and acknowledge that we may suspend or restrict access pending verification.

3. Non-Custodial Wallet and Your Responsibilities

We provide software, interface, connectivity, and related technical services only. DOMA does not act as a bank, custodian, broker, exchange, payment service provider, fiduciary, trustee, agent, financial institution, investment adviser, or counterparty in relation to any transaction initiated by you through the DOMA Wallet. DOMA does not execute transactions on your behalf, does not hold or control your digital assets, seed phrases or private keys, and does not assume responsibility for the operation, availability, performance, or outcome of any blockchain network, smart contract, liquidity source, validator, relayer, staking protocol, decentralized application, or third-party service.

DOMA Wallet is a non-custodial, self-hosted digital asset wallet. This means you retain full control of your digital assets and private keys at all times. We do not at any time have custody, control or access to your assets, private keys, passkeys or seed phrases nor does the architecture of the DOMA Wallet give us to the ability to do so. We cannot recover, freeze, or reverse transactions on your behalf. You are solely responsible for the security and management of your DOMA Wallet. We therefore accept no responsibility or liability for any losses of assets that you sustain as a result of using DOMA Wallet. Your assets, private keys and seed phrases remain exclusively in your possession locally on the device with which you access your DOMA Wallet, and we have no access, custody, or control over them. We cannot access your private keys or seed phrases, or perform any actions with your assets. As a self-hosted wallet, you are the sole custodian of your digital assets, ensuring that only you have the authority to manage, transfer, or utilize them as you see fit.

You must not permit any third party to access or control your DOMA Wallet, private keys, seed phrase, passkeys, or connected devices. You are solely responsible for all actions taken through your DOMA Wallet, whether authorized by you or otherwise.

DOMA does not support or guarantee support for any forked network, airdrop, or derivative asset and assumes no responsibility for any losses arising from blockchain network changes. Any changes to blockchain networks may necessitate upgrades or changes to the DOMA Wallet which may take time to develop, test and implement.

DOMA does not operate, control, or guarantee the performance of validators, miners, node operators, or transaction.

DOMA Wallet provides an interface for digital assets non-custody management for selected blockchain networks. The blockchain networks that are supported are subject to change from time to time. Currently supported blockchain networks include: Ethereum, Binance Smart Chain, Polygon, Avalanche, Celo, Bitcoin, Solana, Cronos, BASE, Arbitrum, with ongoing expansion planned to support additional blockchain networks over time.

DOMA Wallet also integrates transaction sending and receiving capabilities, token swap connectivity through third parties, WalletConnect integration for connecting to decentralized applications, and on-ramp and off-ramp services through third-party service providers.

Passkey Authentication. For a faster and more convenient experience, users can create their wallet using passkeys with just a single tap. Passkeys use the device’s built-in security (Face ID, Touch ID, or device PIN) to authenticate users securely without passwords. The passkey serves as a backup method to access the wallet, allowing users to sign in seamlessly across their devices. The security of your DOMA Wallet is therefore entirely dependent on the security measures that you have in place on your device, as to which please see further below.

Seed Phrase Security. Upon creating your DOMA Wallet, you will receive a unique seed phrase (or “recovery phrase”). This seed phrase is the ONLY way to recover access to your wallet and the assets stored in it. You must write down and securely store your seed phrase offline. Never share your seed phrase with anyone, including DOMA team members or support staff. DOMA cannot and will not ever ask for your seed phrase or part of it. Loss of your seed phrase means permanent loss of access to your wallet and assets. DOMA cannot recover your seed phrase or restore access to your wallet if you lose it.

You are responsible for maintaining the confidentiality of your seed phrase, passkey and private keys, implementing appropriate security measures on your devices (including ensuring that all software is kept updated to ensure the latest security measures and bug fixes are implemented), protecting your wallet from unauthorized access, regularly backing up your wallet information, using secure internet connections and using virtual private networks (VPNs) to encrypt your data when accessing your wallet, and verifying all transaction details before confirmation. Because DOMA Wallet is non-custodial, we cannot reset or recover your password or seed phrase, reverse, cancel, or refund transactions, freeze or modify your wallet, or provide access to your wallet or the assets within it if you lose your credentials or an unauthorized third party accesses your DOMA Wallet.

DOMA Wallet utilizes WalletConnect protocol, enabling you to connect your wallet to compatible decentralized applications (“dApps”) and platforms. You authorize connections to third-party platforms at your own discretion. We are not responsible for the functionality, security, or actions of connected dApps which, for the avoidance of doubt, are not affiliated with DOMA. You should review the terms and conditions of any dApp and satisfy yourself as to its credentials and legitimacy before interacting with it.

4. Fees

DOMA may charge fees for certain services within the wallet. These fees can include, but are not limited to charges related to specific services offered by our third-party provider (e.g. fees for fiat-to-crypto and crypto-to-fiat conversions). All applicable fees will be displayed to you before you confirm any transaction.

In addition to DOMA fees, you may incur network gas fees (blockchain transaction fees required by the respective networks, which are paid to network validators, not to DOMA), third-party provider fees charged by integrated service providers, and exchange rate spreads (differences between buy and sell prices in conversion services). You acknowledge that these third-party fees are beyond DOMA’s control and may vary based on network congestion, market conditions, and provider pricing. We reserve the right to modify our fee structure at any time. Updated fees will be displayed in the application and will apply to transactions conducted after the change is implemented.

Fees paid to DOMA are non-refundable unless where required by applicable law.

We provide software interfaces and optional routing logic only. We do not execute, control, or intermediate transactions and do not act as counterparty, principal, agent, or custodian in any transaction. Any fees earned by us are earned as a result of us providing the DOMA Wallet and the interface with third party networks and service providers.

5. Third-Party Services

On-Ramp and Off-Ramp Services. DOMA Wallet integrates third-party service providers to facilitate the purchase of digital assets with supported payment methods and the conversion between fiat currency and digital assets. Please note that DOMA is not involved in any exchange between fiat currency and digital assets (or vice versa) or between different digital assets. The DOMA Wallet is an interface only. When using these services, users are bound by any terms and conditions set forth by the specific third-party service provider. DOMA has no influence or control over these terms and cannot intercede on behalf of users should any disputes arise. Third-party providers may require identity verification (KYC) procedures and reserve the right to seize, hold, or freeze funds until users pass required compliance checks. Third-party providers operate independently from DOMA and make their own decisions regarding transaction processing. Users must review and accept each third-party provider’s terms and policies before using their services.

On-Chain and Cross-Chain Swap Services. DOMA Wallet integrates third-party swap providers to enable users to exchange digital assets. On-chain swaps allow users to trade tokens within the same blockchain network, while cross-chain swaps facilitate the exchange of assets across different blockchain networks. These swap services are provided by independent third-party protocols and decentralized exchanges. DOMA does not control swap rates, liquidity, transaction fees, or the execution of trades. Users acknowledge that swap transactions are subject to network conditions, slippage, price fluctuations, and smart contract risks. DOMA has no influence or control over these matters. Once a swap transaction is initiated and confirmed on the blockchain, it cannot be reversed or cancelled. Users are responsible for verifying all transaction details, including token addresses, amounts, and estimated returns before confirming any swap. DOMA assumes no liability for failed transactions, unfavorable rates, or losses of any kind resulting from the use of third-party swap services.

Additional third-party services. Any third-party service made accessible through DOMA Wallet is provided by an independent third party and is made available solely for your convenience. DOMA does not own, operate, control, recommend, endorse, monitor, or guarantee any third-party service, nor does it verify the identity, solvency, licensing status, performance, security, legality, or suitability of any third-party provider. Your use of any third-party service is entirely at your own risk and subject to that provider’s own terms, conditions, and privacy practices.

Decentralized Staking. DOMA Wallet integrates with third-party staking protocols, enabling you to stake supported cryptocurrencies directly from your non-custodial wallet to earn rewards. When you choose to stake assets, you send them directly from your wallet to third-party staking smart contracts. At no point do staked assets or rewards pass through DOMA’s custody or control; assets are held and managed entirely by the third-party staking protocol. DOMA is not the author of such smart contracts nor does it have administrative rights in respect of them. DOMA does not take custody of staked assets or rewards and nor does it guarantee the performance, availability, security, or returns of any staking arrangement.

Staking rewards accumulate on the third-party platform. The platform will account to DOMA directly in respect of DOMA’s fee portion, and you withdraw your reward portion separately and independently. Any staking rewards, fees, commissions, or revenue shares applicable to a staking transaction will be disclosed to you in the application or in the applicable feature-specific terms before you proceed. The calculation, accrual, timing, and payment of any rewards are determined by the relevant protocol or service provider and may change at any time.

You acknowledge that staking involves risks including but not limited to smart contract vulnerabilities, protocol failures, lock-up periods, fluctuations in the value of the digital assets during lock-up periods and fluctuations in reward rates. DOMA does not guarantee any level of staking returns and assumes no liability for losses resulting from your participation in third-party staking protocols.

NFT Marketplace Integration. DOMA Wallet provides integrated Non-Fungible Token (NFT) marketplace functionality enabling you to browse, buy, sell, and trade NFTs through connections with third-party NFT marketplace platforms. Transactions are executed through third-party marketplace smart contracts, and NFTs are stored exclusively in your non-custodial wallet address; never in any platform-controlled address.

DOMA acts solely as a technical interface facilitating your connection to third-party NFT marketplaces. DOMA does not control pricing, availability, authenticity, or the execution of NFT transactions. You are responsible for verifying all transaction details and the legitimacy of any NFT before purchase.

You acknowledge that the NFT market is highly speculative and volatile. NFT values may fluctuate significantly, and there is no guarantee of resale value or market liquidity. DOMA assumes no liability for losses arising from NFT transactions conducted through third-party marketplace integrations.

Hardware Wallet Integration. DOMA Wallet supports integration with hardware wallet devices, including Ledger and potentially other major manufacturers, enabling you to manage your cryptocurrency with enhanced security. When using a hardware wallet, your private keys remain secured on the hardware device at all times. All transaction signing occurs on the hardware device itself — private keys never leave the device and are never accessible to DOMA.

The DOMA Wallet application displays transaction details and facilitates your confirmation, but does not intermediate or observe private key operations. You are responsible for the safekeeping of your hardware device and for complying with the manufacturer’s terms and security recommendations. DOMA assumes no liability for losses resulting from hardware device failure, loss, theft, or misuse.

Gas-less Transactions. DOMA Wallet offers a gas-less transaction feature enabling you to pay blockchain transaction fees (gas fees) using your USDT/USDC on Ethereum, Binance Smart Chain and Solana blockchains you currently hold, rather than requiring native blockchain tokens for fee payment. For example, you can pay gas fees in USDT/USDC when executing a transaction on the Ethereum network, without needing to hold ETH specifically for that purpose.

Technical Implementation. When you initiate a gasless transaction, you sign an off-chain digital message authorizing the action and granting a token spending approval up to a defined limit, using the native token standard of the respective network (ERC-20/BEP-20 on EVM-compatible chains, SPL on Solana). This signed message is transmitted to a relayer service integrated within the platform, which wraps your request into a standard on-chain transaction and covers the gas fee from a pre-funded pool of native tokens. The relayer then deducts the equivalent token amount plus a DOMA service fee from your wallet using your pre-granted approval, and your intended transaction is executed on-chain.

Important Conditions and Limitations: You retain control at all times through your token approvals that specify the maximum amount the relayer smart contract may deduct. You control approval limits and may revoke approvals at any time. DOMA cannot deduct amounts beyond what you have explicitly approved. A service markup will be applied to the token amount deducted for gas payment and will be clearly disclosed to you prior to confirmation. Gas-less transactions are subject to network conditions and the availability of the relayer service. DOMA does not guarantee availability of this feature at all times. You are responsible for reviewing and understanding the token approvals you grant. DOMA assumes no liability for losses arising from approvals you have authorized.

The DOMA Wallet is an interface only. Nothing in any integration between DOMA and relevant third party providers whose services and/or networks are available through the DOMA Wallet creates an agency, partnership, or joint venture between DOMA and such third-party.

DOMA is not responsible for actions taken by third-party providers, including transaction rejections, delays, freezes, or requests for additional information.

6. Prohibited Activities and Intellectual Property

You agree not to use DOMA Wallet for any unlawful or prohibited purpose, including but not limited to violating any applicable laws, regulations or sanctions, export controls or trade restrictions (or any attempt to bypass the same) nor shall it be used for or in connection with money laundering, terrorist financing, proliferation financing or other financial crimes such as fraud, market manipulation (including ‘pump and dump’ schemes) or deceptive practices, infringing on intellectual property rights, transmitting malware, viruses or harmful code, attempting to gain unauthorized access to DOMA systems or other users’ wallets, interfering with the proper functioning of DOMA Wallet, using DOMA Wallet to engage in activities prohibited by applicable sanctions lists or regulations, impersonating any person or entity or misrepresenting your affiliation, or harvesting or collecting information about other users without consent. We reserve the right to investigate violations and cooperate with law enforcement authorities as required by law.

All content, features, functionality, software, code, designs, graphics, logos, and trademarks in DOMA Wallet are proprietary and are owned by our affiliates or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use DOMA Wallet for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from DOMA Wallet, reverse engineer, decompile, or disassemble the software, remove or alter any proprietary notices or labels, or use DOMA branding without our express written permission. We reserve the right to take such steps and in such jurisdictions as in each such case we consider necessary or desirable in order to protect our intellectual property and know-how.

You may not use DOMA Wallet in violation of any applicable export control, sanctions, anti-boycott, or trade restriction laws or regulations. Without limiting the foregoing, you may not use DOMA Wallet if you are located in, organized under the laws of, ordinarily resident in, or acting on behalf of any person located in, any jurisdiction or territory subject to comprehensive sanctions, or if you are otherwise a restricted or blocked person under applicable sanctions laws.

7. Disclaimers and Risks

DOMA WALLET IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. We do not guarantee that DOMA Wallet will be available at all times or will function without errors, delays, or interruptions. DOMA Wallet may experience downtime periodically as we add new features, improve security standards or fix any bugs in the software. We may suspend or discontinue services for maintenance, updates, or other reasons without prior notice. Third parties with whom the DOMA Wallet is integrated may also suspend their services for similar reasons and DOMA may not be given prior notice of the same.

Certain features of the DOMA Wallet may be experimental or in beta and may change or be discontinued without notice.

DOMA does not act as your fiduciary, broker, agent, or advisor.

DOMA does not provide financial, investment, tax, or legal advice. Any information provided through DOMA Wallet is for informational purposes only and should not be construed as professional advice. You should consult with qualified professionals before making any financial decisions.

You acknowledge and accept the risks inherent to blockchain technology, cryptocurrencies, other digital assets and NFTs. Digital asset values can fluctuate dramatically and unpredictably. Blockchain transactions cannot be reversed once confirmed. Blockchain networks may experience delays, failures, or congestion. Smart contracts may contain bugs or vulnerabilities. Cryptocurrency regulations are evolving and may impact your ability to use digital assets. Loss of your seed phrase results in permanent loss of access to your funds. Sending assets to incorrect addresses may result in irretrievable loss. You are solely responsible for compliance with applicable tax obligations. You further acknowledge and accept the risks associated with blockchain networks and digital asset transactions, including software bugs, protocol failures, consensus failures, forks, replay attacks, validator or miner misconduct, network congestion, front-running, maximal extractable value (MEV), bridge failures, oracle failures, smart contract vulnerabilities, approval and allowance risks, phishing, malware, social engineering, de-pegging events, liquidity failures, slippage, and permanent loss arising from user error, compromised devices, or incorrect wallet addresses.

8. Limitation of Liability and Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOMA AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DIGITAL ASSETS OR FUNDS, LOSS OF PROFITS OR REVENUE, LOSS OF DATA OR INFORMATION, LOSS OF BUSINESS OPPORTUNITIES, TRANSACTION FAILURES OR DELAYS, UNAUTHORIZED ACCESS TO YOUR WALLET, ERRORS IN TRANSACTION AMOUNTS OR ADDRESSES, MARKET FLUCTUATIONS OR VOLATILITY, ACTIONS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS, OR NETWORK FAILURES OR BLOCKCHAIN ISSUES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATION HEREIN MAY NOT APPLY TO YOU. IN NO EVENT SHALL DOMA’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO DOMA WALLET EXCEED ONE HUNDRED US DOLLARS (USD $100). NOTHING IN THESE TERMS AND CONDITIONS SHALL LIMIT OUR LIABILITY FOR PROVEN FRAUD OR WILFUL MISCONDUCT TO THE EXTENT THE SAME CANNOT BE LAWFULLY EXCLUDED.

You acknowledge and agree that you are solely responsible for managing your seed phrase, private keys and passkeys, you bear all risks associated with using DOMA Wallet and transacting in digital assets, you are responsible for verifying all transaction details before confirmation, and DOMA is not responsible for any losses resulting from your actions or inactions.

You agree to indemnify, defend, and hold harmless DOMA, and our affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including attorneys’ and other professional fees) arising out of or relating to your use or misuse of DOMA Wallet, your violation of these Terms, your violation of any applicable laws or regulations, your violation of any third-party rights, loss of your seed phrase or unauthorized access to your wallet due to your actions, any transactions you conduct using DOMA Wallet, or your use of third-party services integrated with DOMA Wallet.

9. Privacy, Rewards Programs, and Updates

As a non-custodial wallet, DOMA does not store, custody, or have access to your private keys, seed phrase, passkeys, or digital assets. We cannot access your wallet funds. We collect minimal data necessary to provide and improve our services, primarily consisting of technical and usage analytics, publicly available blockchain transaction data, and information you voluntarily provide when contacting support. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at https://domawallet.ai/privacy-policy/ to understand our data practices.

DOMA may, at its sole discretion, offer referral programs or rewards programs to users from time to time. These programs may allow you to earn rewards by referring new users to DOMA Wallet or by participating in promotional activities. Participation in any referral or rewards program is subject to separate program-specific terms and conditions. DOMA reserves the right to modify, suspend, or terminate any program at any time without prior notice. Rewards are subject to verification and compliance checks. DOMA reserves the right to disqualify participants who engage in fraudulent, abusive or other unacceptable behavior and DOMA’s determination of such matters shall be final, conclusive and binding. Rewards may have expiration dates, restrictions, or conditions on use and may not be available in all jurisdictions. DOMA makes no guarantee regarding the availability, continuation, or specific terms of any referral or rewards program.

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this document, post the updated Terms on our website, and notify users through in-app notification. Your continued use of DOMA Wallet after updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of DOMA Wallet. We may update, modify, or discontinue features of DOMA Wallet at any time without prior notice and for any reason. We are not liable for any modifications, suspensions, or discontinuation of services.

10. Termination

You may stop using DOMA Wallet at any time. However, you remain responsible for securely storing your seed phrase for future access to your funds, any fees incurred prior to termination, and completing any pending transactions. We may temporarily restrict or limit access to DOMA Wallet features to comply with applicable laws, address suspected fraud or abuse, protect security or integrity of our services, or enforce these Terms. Where possible, we will provide notice.

Upon termination, your right to use DOMA Wallet ceases immediately. You remain responsible for your seed phrase and accessing your funds through other means. As a non-custodial wallet, DOMA cannot and will not transfer your funds upon termination. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, and indemnification obligations.

DOMA may suspend, disable, or restrict your access to the DOMA Wallet application, your account profile or any feature or content made available by DOMA, with or without notice where reasonably necessary to comply with applicable law, sanctions, court orders, regulatory requests, security requirements, or these Terms. Any such restriction applies only to DOMA-provided interfaces and services and does not of itself prevent access to blockchain networks or digital assets by other lawful means.

11. Dispute Resolution and Governing Law

These Terms and any disputes arising out of or relating to DOMA Wallet shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or DOMA Wallet, including any question regarding its existence, any breach, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the BVI IAC Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator. The place of the arbitration shall be Road Town, Tortola, British Virgin Islands, unless the parties agree otherwise. The arbitrator’s decision shall be final and binding on both parties.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting DOMA at support@domawallet.ai. We will attempt to resolve the dispute informally within 30 days. All claims must be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, consolidated, or private attorney general proceeding, to the maximum extent permitted by applicable law.

12. General Provisions

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and DOMA regarding your use of DOMA Wallet and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of DOMA. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. DOMA may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and DOMA. You have no authority to bind DOMA in any manner. DOMA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.

These Terms are provided in English. You consent to receive communications from DOMA electronically, including via email or through the DOMA Wallet application. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. Any translation of these Terms is provided for convenience only. In the event of any inconsistency or discrepancy between the English version and any translated version, the English version shall prevail.

Section headings in these Terms are included for convenience only and shall not affect the interpretation of these Terms.

Where necessary, the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable.

You acknowledge that, in entering into these Terms and using DOMA Wallet, you have not relied upon, and shall have no remedy in respect of, any statement, representation, assurance, or warranty, whether oral or written, except as expressly set out in these Terms.

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, epidemics, pandemics, labour disputes, failures of telecommunications or internet service providers, cyberattacks, denial-of-service attacks, software defects, blockchain network failures, forks, validator failures, protocol exploits, congestion, governmental actions, embargoes, sanctions, or changes in law or regulation.

You acknowledge that any breach of the intellectual property or confidentiality-related provisions of these Terms may cause irreparable harm to DOMA for which damages may not be an adequate remedy, and that DOMA may seek injunctive or other equitable relief in any court of competent jurisdiction, in addition to any other remedies available at law.

Certain features, products, services, campaigns, or integrations made available through DOMA Wallet may be subject to additional terms, disclosures, or risk statements presented to you at the point of use. In the event of any inconsistency between those additional terms and these Terms, the additional terms shall govern solely in relation to the relevant feature, product, service, campaign, or integration.
